Popup Pal is a trading name of CODEHARDY LTD (Company Number: 15543466), registered in England and Wales. Throughout these Terms, "Popup Pal", "we", "us", or "our" refers to CODEHARDY LTD.
By accessing or using the Popup Pal app or website (the "Platform"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the Platform.
1. About Popup Pal
Popup Pal is a platform that connects users with businesses hosting pop-up events. We facilitate ticket sales on behalf of businesses but are not responsible for organising, hosting, or managing any events.
2. Eligibility
- You must be at least 18 years old to create an account and use Popup Pal.
- By using Popup Pal, you confirm you meet this requirement.
3. User Accounts
- Users must create an account to browse and purchase tickets.
- You agree to provide accurate information and keep your account secure.
- We reserve the right to suspend or terminate accounts at any time if we believe your actions pose a risk to Popup Pal, other users, or third parties.
4. Events and Ticket Sales
- Events listed on Popup Pal are organised solely by third-party businesses.
- Your ticket purchase is a contract directly with the event organiser.
- Popup Pal facilitates payment processing but is not a party to your ticket contract.
- Tickets are non-transferable unless explicitly stated otherwise.
- Some events may be marked as "Non-Refundable." You will be required to confirm acceptance before purchasing.
5. Payments
- All payments are processed securely through Stripe.
- Popup Pal collects a 3.5% platform fee at the time of ticket purchase.
- Stripe fees are deducted separately from the transaction and are the responsibility of the event organiser.
- Popup Pal does not hold user funds.
- Funds are transferred directly to the event organiser's connected Stripe account.
6. Refunds and Cancellations
- If an event is cancelled, Popup Pal will automatically refund all users who purchased tickets for that event.
- Refunds are processed to the original payment method.
- Businesses are responsible for any Stripe processing fees incurred; Stripe fees are non-refundable.
- Events marked as "Non-Refundable" are strictly non-refundable unless otherwise required by law.
7. Chargebacks and Disputes
- If a user initiates a chargeback or payment dispute, Popup Pal reserves the right to recover any refunded amounts from the responsible business.
- For general support, contact support@popuppal.co.uk. We aim to respond within 5 working days.
- For urgent matters, contact urgent@popuppal.co.uk for a response within 24 hours.
8. Business Listings and Content
- Businesses are responsible for all content they upload.
- By posting content, businesses grant Popup Pal a worldwide, non-exclusive, royalty-free licence to use, display, and promote their content.
- We reserve the right to remove content or listings that breach our guidelines.
9. User Content Standards
Users must not upload content that:
- Is illegal, infringing, defamatory, obscene, or otherwise objectionable.
- Violates any third-party rights, including intellectual property rights.
- Misleads or deceives other users.
Popup Pal reserves the right to remove or modify any content that violates these standards.
10. Promotions
- Businesses may optionally pay to promote their events for increased visibility.
- Promotion fees are non-refundable once paid.
11. Liability
- Popup Pal provides a platform service only. We are not responsible for the quality, safety, legality, or conduct of any event or organiser.
- Users attend events at their own risk.
- Popup Pal disclaims all warranties and is not liable for any damages or losses arising from use of the Platform or attendance at events.
12. Force Majeure
Popup Pal is not responsible for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, internet or power outages, labour disputes, or government restrictions.
13. Indemnification
You agree to indemnify and hold harmless Popup Pal and CODEHARDY LTD from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Platform, your breach of these Terms, or your violation of any rights of a third party.
14. Third-Party Services
- Popup Pal uses third-party services, such as Stripe for payment processing and Google Maps for location browsing.
- Your use of these services is subject to their respective terms and conditions.
15. Intellectual Property
- All rights in the Popup Pal name, logo, and Platform content belong to CODEHARDY LTD.
- You may not reproduce, distribute, or create derivative works without our written permission.
16. Changes to Terms
- We may update these Terms from time to time.
- Users will be notified via email of any material changes.
- Continued use of the Platform after changes constitutes acceptance of the updated Terms.
17. Referral Voucher Program
Popup Pal operates a referral voucher program that rewards users for referring new businesses to the platform.
17.1 Eligibility
- Any user with a Popup Pal account may participate in the referral program.
- Both the referrer and the referred business (claimer) must maintain accounts in good standing.
- Referrers cannot refer themselves or businesses they own or control.
17.2 Voucher Activation
- Referral vouchers are activated only when the referred business hosts their first successful event.
- A "successful event" is defined as an event that runs for at least 14 days and generates at least one ticket sale.
- Upon successful event completion, the referrer receives a voucher for a 25% platform fee discount, and the claimer receives a voucher for a 10% platform fee discount.
17.3 Voucher Validity and Redemption
- Vouchers must be redeemed within 3 months of activation.
- Once redeemed, the discount applies for 3 months from the redemption date.
- Unredeemed vouchers expire automatically after 3 months and cannot be reinstated.
- Vouchers apply to future ticket sales only and cannot be applied retroactively.
17.4 Discount Calculation
- The standard Popup Pal platform fee is 3.5% of ticket sales.
- Referrer voucher: 25% discount reduces the platform fee to 2.625% (25% off 3.5%).
- Claimer voucher: 10% discount reduces the platform fee to 3.15% (10% off 3.5%).
- Discounts apply only to the Popup Pal platform fee and do not affect Stripe payment processing fees.
17.5 Non-Transferability
- Vouchers are tied to the account that earned them and cannot be transferred, sold, or traded.
- Vouchers have no cash value and cannot be exchanged for monetary compensation.
17.6 Restrictions and Limitations
- Only one referral discount voucher may be active per business at any given time.
- Referral discounts cannot be stacked with other promotional offers or discounts.
- If multiple vouchers are available, the business must choose which voucher to activate.
17.7 Right to Revoke
- Popup Pal reserves the right to revoke vouchers at any time if fraud, abuse, or violations of these Terms are detected.
- This includes but is not limited to: creating fake accounts, self-referrals, fraudulent ticket sales, or manipulation of the referral system.
- Accounts found in violation may be suspended or terminated without refund of any fees paid.
17.8 Program Modifications
- Popup Pal reserves the right to modify, suspend, or discontinue the referral voucher program at any time.
- Active vouchers earned before program changes will be honoured according to their original terms.
- Users will be notified of material changes to the referral program via email.
18. Governing Law
These Terms are governed by and construed under the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
